SOK and Coop Estonia agree on the sale of Prisma Peremarket and on strategic cooperation

SOK and Coop Estonia have signed an agreement under which Prisma Peremarket and its 13 stores in Estonia will be sold to Coop Estonia. In addition, the parties plan to establish extensive cooperation after the transaction takes effect, making it possible for food and non-food products sold in SOK stores in Finland to also become available in Coop stores in Estonia. Prisma stores will continue to operate as usual until the transaction is completed.

The transaction is still subject to approval by the Estonian Competition Authority and is expected to be completed during 2026. Once the transaction has been approved, the Prisma stores in Estonia will become Coop stores, and 700 Prisma employees will transfer to Coop. Until then, all Prisma stores in Estonia will continue to operate as usual, and there will be no significant changes to the assortment. The transaction does not concern Sokos Hotel Viru, which will continue its operations as normal.

Coop is the largest grocery retail chain in Estonia, with a network of more than 300 stores across the country. As a result of the cooperation, Finnish food and non-food products sold in SOK stores in Finland may become available to significantly more customers throughout Estonia than before. Products loved for their Nordic quality have long been missed by many customers across Estonia, and Coop’s broad store network can bring them to a large number of new consumers.

“Coop is the best partner for S Group in Estonia. We share a similar cooperative background and values of responsibility. Coop has a strong and positive reputation in Estonia and is a respected employer. We are pleased to engage in closer cooperation with them,” says Hannu Krook, President and CEO of SOK.

“Coop’s market share in Tallinn has been low compared to competitors, as we have historically focused on having a presence in other parts of Estonia. We have been looking for a suitable opportunity to increase our market share in Tallinn for quite some time. Acquiring Prisma Peremarket gives us the opportunity to significantly increase our market share and make Coop more accessible than before to residents of the capital,” said Rainer Rohtla, Chairman of the Management Board of Coop Estonia.

“We sincerely wish to thank all employees and customers for the past 25 years. Prisma has grown in Estonia and we have more than 300,000 loyal customers. Over the past few months, our sales results have improved strongly, and now is the right time to make this change,” said Ilkka Alarotu, Chairman of the Management Board of Prisma Peremarket.

SOK and Coop Estonia have agreed not to disclose the terms of the transaction.

Prisma Peremarket AS has been operating in Estonia since 2000. The chain has a total of 13 stores in Tallinn and Harju County, Tartu, Narva, and Rapla, and together with its support unit employs more than 700 people. Prisma Peremarket is part of the Finnish retail group S Group.

Coop is Estonia’s largest and oldest grocery and daily consumer goods retail chain, consisting of 18 local consumer cooperatives and a central cooperative coordinating their cooperation. The group has approximately 320 stores across Estonia, from major cities to small settlements, and in many regions is the only provider of grocery and essential goods retail services. In 2024, Coop’s net turnover reached 856.1 million euros, securing its position as the market leader in Estonia with a 23.16% market share. Coop employs nearly 6,000 people in Estonia.
